Please read these Terms carefully before using Wexly. By creating an account or using our service, you agree to be bound by these Terms.

Wexly ("we," "us," or "our") is an AI-powered SMS booking assistant service operated by Wexly Inc. We provide businesses with an automated text messaging system that handles customer bookings, appointment reminders, and follow-ups.

2. Acceptance of Terms

By accessing or using Wexly, you agree to these Terms of Service and our Privacy Policy. If you are using Wexly on behalf of a business, you represent that you have the authority to bind that business to these Terms.

Wexly offers a 14-day free trial. No charges are made during the trial period. After the trial ends:

We reserve the right to change our pricing with 30 days notice to active subscribers.

5. Cancellation

You may cancel your subscription at any time from your dashboard under Billing settings. Cancellation takes effect at the end of the current billing period. You will retain access to your account until the period ends. We do not provide refunds for partial months.

By using Wexly, you agree to comply with all applicable SMS and telecommunications laws including:

We collect and process data as described in our Privacy Policy. You retain ownership of your business data and customer data. By using Wexly, you grant us a limited license to process this data solely to provide the service.

10. Intellectual Property

Wexly and all related software, designs, and content are owned by Wexly Inc. and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the service.

11. Limitation of Liability

To the maximum extent permitted by law, Wexly shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the service.

Our total liability for any claim shall not exceed the amount you paid us in the 3 months preceding the claim.

Wexly is not liable for any disputes between you and your customers regarding deposits, refunds, bookings, service quality, or any other matter. Deposit collection is facilitated through Stripe Connect — you are the merchant of record and solely responsible for all payment disputes, chargebacks, and refund obligations to your customers.

12. Indemnification

You agree to indemnify, defend, and hold harmless Wexly, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation, including but not limited to the TCPA; (d) any content or messages sent through your Wexly number; (e) any disputes between you and your customers; or (f) any deposit or payment disputes arising from your use of Stripe Connect through Wexly.

13. Disclaimer of Warranties

Wexly is provided "as is" without any warranties of any kind, express or implied. We do not warrant that the service will be uninterrupted, error-free, or completely secure.

Booking approval, quote, and group class features are tools that facilitate communication between you and your customers — Wexly makes no representations regarding the accuracy of quotes, the suitability of approved bookings, or the outcome of any booking request you approve or deny.

Recurring appointments are created automatically based on your customers' requests — you are responsible for reviewing and managing your schedule.

14. Termination

We may suspend or terminate your account at any time if you violate these Terms or if we reasonably believe you are misusing the service. You may terminate your account at any time by cancelling your subscription and contacting us.

15. Dispute Resolution & Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the use of Wexly shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, rather than in court. You agree to waive any right to a jury trial and to participate in a class action lawsuit or class-wide arbitration.

Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.

16. Changes to Terms

We may update these Terms from time to time. We will notify you of significant changes via email. Continued use of Wexly after changes constitutes acceptance of the new Terms.

17. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. To the extent arbitration does not apply, any disputes shall be resolved in the courts of Riverside County, California.

Program Name: Wexly AI SMS Booking Assistant

Program Description: Wexly provides an AI-powered SMS booking assistant for small businesses. When you text a business's Wexly number, you may receive SMS messages including appointment confirmations, reminders, booking updates, and customer service responses.

Message Frequency: Message frequency varies based on your interactions with the business. You may receive messages when you initiate a conversation, book an appointment, or have an upcoming appointment.

Message & Data Rates: Message and data rates may apply. Check with your mobile carrier for details.

Opt-Out: You can opt out of SMS messages at any time by replying STOP to any message. After opting out, you will receive one final confirmation message and no further messages will be sent.

Mobile Number Privacy: Mobile phone numbers are not sold, rented, or shared with third parties for marketing or promotional purposes. Numbers are used solely to facilitate the SMS booking service.
